These Terms of Service govern your relationship with Postera and define the rules, obligations, and expectations of both parties. Please read them carefully before engaging our services.
Acceptance of Terms
By accessing or using Postera's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. We reserve the right to update or change these terms at any time.
Description of Services
Postera provides email marketing infrastructure, marketing automation, omnichannel campaign orchestration, deliverability consulting, and technical integration services. Our services are tailored to enterprise clients, agencies, and qualified independent creators who have been accepted through our vetting process.
Client Responsibilities
Clients are responsible for maintaining the accuracy and legality of all data submitted to Postera systems. You warrant that you have obtained all necessary consents from your subscribers and that your use of our services complies with applicable anti-spam legislation including CAN-SPAM, GDPR, and CASL. You agree not to use Postera infrastructure to transmit unsolicited communications.
Intellectual Property
All creative assets, automation templates, and technical architectures developed by Postera during the engagement remain the intellectual property of Postera until full payment is received, after which ownership transfers to the client as defined in the individual engagement contract. Postera's proprietary systems, methodologies, and platform architecture are not transferred under any circumstance.
Confidentiality
Both parties agree to maintain strict confidentiality regarding all proprietary information, technical data, and business intelligence disclosed during the engagement. This obligation survives termination of the service agreement for a period of three (3) years. Postera operates a zero-knowledge architecture and does not retain client PII beyond the operational requirements of the active engagement.
Payment & Billing
Payment terms are defined in individual engagement contracts. Postera reserves the right to suspend services for accounts with outstanding balances exceeding thirty (30) days. All fees are non-refundable unless expressly stated in writing. Disputed charges must be raised within fifteen (15) days of the invoice date.
Limitation of Liability
Postera's liability is limited to the total fees paid by the client in the three (3) months preceding any claim. We are not liable for indirect, incidental, or consequential damages arising from service disruptions, third-party platform downtime (including email service providers), or data loss beyond our control. Postera does not guarantee specific deliverability rates or revenue outcomes.
Termination
Either party may terminate the service agreement with thirty (30) days written notice. Postera reserves the right to immediately terminate services without notice if a client violates these terms, engages in abusive, illegal, or fraudulent activity, or materially breaches the engagement contract. Upon termination, client data will be returned or destroyed per the agreed data handling protocol.
Governing Law
These terms are governed by and construed in accordance with applicable law. Any disputes arising under these terms shall be resolved through binding arbitration before resorting to litigation, except in cases where injunctive relief is sought.
